Terms of Service

1. Agreement to Terms

These Terms of Service are a contract between you and Night Lite USA LLC ("Night Lite," "we," "us," or "our"). ProvenanceOS is a Developer312 product brand operated by Night Lite USA LLC. By accessing or using ProvenanceOS, you agree to these Terms. If you do not agree, do not use the service. Our postal address is 25200 Carlos Bee Blvd, Hayward, CA 94542. Phone: (510) 591-0163.

2. Description of Service

ProvenanceOS is a software provenance intelligence platform. Authenticated scan intake, dependency lineage mapping (npm, PyPI) with OSV.dev vulnerability matching, AI-origin scoring over a bounded source sample, and policy evaluation are available today. Capabilities such as automated policy enforcement (block and require-review actions) and compliance reporting are planned for future phases. We describe shipped capabilities on the changelog and our public security disclosures.

3. Account Registration

To access certain features, you must register for an account. You agree to provide accurate information and keep your account credentials secure. You may close your account at any time; on closure we delete your account record and the personal data described in the Privacy Policy, subject to limited exceptions (for example, transaction records we are required to retain for tax and accounting purposes).

4. Acceptable Use

You agree not to:

• Use the service for any illegal purpose
• Attempt to gain unauthorized access to any part of the service
• Interfere with or disrupt the service or servers
• Upload malicious code or content

5. Intellectual Property

The ProvenanceOS service, its software, and the content we publish on this site are owned by Night Lite USA LLC and are protected by copyright, trademark, and other intellectual property laws. ProvenanceOS and Developer312 are brands used by Night Lite USA LLC. You retain ownership of any source code, repository metadata, and other materials you submit to the service.

6. Limitation of Liability

In no event shall Night Lite USA LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.

7. Plans and billing

Launch and Growth are open for self-serve signup at the prices on the pricing page. You choose a monthly or annual billing period at checkout. The Control plan is not sold through self-serve checkout; contact us if you want that plan. Fees are exclusive of taxes, which are charged where required by law. If we change a plan's price, we will give you at least 30 days' notice, and the new price applies from your next renewal.

8. 14-day trial

A first-time Launch or Growth checkout starts a 14-day trial. A payment card is not required to start the trial: checkout does not collect a payment method when the amount due is zero, and you are not charged during the 14 days. If no payment method is on file when the trial ends, the subscription is cancelled and you are not charged. If a payment method is on file when the trial ends, you are charged the price of the plan and billing period you selected. You can add a payment method during the trial from Settings, then Billing, then Manage billing, which opens the Stripe billing portal. A customer who already has a billing account with us does not receive another trial. Checkout for that customer requires a payment method and charges the selected plan.

9. Automatic renewal

A paid Launch or Growth subscription renews automatically until you cancel. After the trial, if a payment method is on file, you are charged at the end of the trial for the billing period you selected, and again at the start of each later billing period, until you cancel. The amount is the price of that plan and period published on the pricing page at the time of the charge, unless we have notified you of a price change as described above. If no payment method is on file at the end of the trial, the subscription is cancelled and you are not charged. You can cancel online at any time, while signed in, from Settings, then Billing, then Manage billing.

10. Cancellation

You may cancel a Launch or Growth subscription online at any time from Settings, then Billing, then Manage billing. Cancellation stops future renewals. If you cancel a paid subscription, access to the paid features continues through the end of the period you have already paid for. If you cancel during a trial before a charge, the trial ends and you are not charged. For the Control plan, cancellation terms are set by your written agreement. We may suspend or terminate accounts that violate these Terms, with notice where practicable.

11. Refunds

Fees are non-refundable for partial billing periods, except: (a) where required by applicable law; (b) service credits earned under the Service Level Agreement; (c) the pro-rata refund for chronic underperformance described in the SLA; or (d) refund terms expressly stated in a signed written agreement. Cancellation stops future renewals and does not refund the current period.

12. Service Levels

The Service Level Agreement (availability commitment, service credits, and support response targets) applies to the Control plan. The Launch and Growth plans are provided on commercially reasonable efforts without a contractual SLA. During early access, the service is provided as-is.

13. Changes to the Service or These Terms

We continue to develop ProvenanceOS and may add, change, or retire features. Material changes to these Terms will be posted on this page with an updated date; your continued use of the service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The state courts and the federal courts located in Alameda County, California, have exclusive jurisdiction over disputes arising out of these Terms or the service, and you and Night Lite USA LLC consent to that venue. These Terms do not require arbitration and do not name an arbitration provider.
